Agreement

By accessing or using our services, you agree to these Terms and our Privacy Policy. You agree to these Terms when creating an account and using our platform to build and deploy chatbots.

To the extent that Flowagently processes any Personal Data on your behalf, we will do so in accordance with our standard Data Processing Addendum, which is available to Customers upon request.

Subprocessors

We use third-party providers to operate the service, including Supabase (authentication, storage), Clerk (authentication), OpenAI (model inference), Google (Gemini) (model inference), Anthropic (model inference), Perplexity (model inference, search), Upstash (serverless redis KV store for caching), Vercel (hosting), and major cloud providers (AWS, GCP, Azure). By using the service, you authorize us to use these providers to process your data to deliver the functionality. You acknowledge that content you provide and chatbot conversations will be processed through these services.

We reserve the right to modify our underlying architecture, infrastructure, and selection of third-party providers at any time without prior notice as necessary to operate, maintain, and improve our service.

Acceptable use

You agree to use our service responsibly:

• No unlawful, harmful, or abusive behavior.
• No attempts to reverse engineer or disrupt the service.
• You are responsible for ensuring chatbots you create comply with applicable laws and do not violate third-party rights. Do not configure chatbots for illegal or harmful purposes.
• You may not access the Service for purposes of monitoring its availability, performance, or functionality, or for any other benchmarking or competitive purposes. You agree not to build a product using similar ideas, features, functions, or graphics of the Service.

Financial Terms

AI outputs

AI-generated responses may be incorrect, incomplete, or misleading.

AI-generated content does not constitute legally binding commitments, contracts, agreements, professional advice (including legal, medical, financial, or other professional guidance), or any form of guarantee. We expressly disclaim any liability for decisions made or actions taken based on AI-generated content.

You must inform your own users about these limitations and ensure your chatbots include appropriate disclaimers about the non-binding nature of AI-generated content.

Intellectual property

The FlowAgently platform, including content, logos, and code, is owned by us or our licensors. You retain ownership of the content, configurations, and data you provide to create chatbots, but you grant us a license to process and store it to provide the service.

Content sources and crawling

When you input a website URL to create a chatbot, you represent and warrant that you have all necessary rights and permissions to crawl, scrape, and use the website content for the purposes of operating your chatbot. You are solely responsible for ensuring that your use complies with applicable laws, the website's terms, and robots.txt or similar directives. We do not control, direct, or assume responsibility for your scraping activities or any claims arising from them.

DMCA and Copyright

We respect the intellectual property rights of others. If you believe that material located on or linked to by our service violates your copyright, you are encouraged to notify us. We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material.

In the case of a user who may infringe or repeatedly infringes the copyrights or other intellectual property rights of others, we may, in our discretion, terminate or deny access to and use of the service.

Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content or chatbot outputs caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

Disclaimers and liability

The service is provided "as is" without warranties. To the extent permitted by law, we are not liable for indirect, incidental, or consequential damages. You are responsible for how you configure and deploy chatbots to your users.

We shall not be liable for any failure or delay in performing our obligations hereunder caused by events beyond our reasonable control, including but not limited to failures of third-party hosting or utility providers, strikes, riots, fires, natural disasters, wars, terrorism, or government actions.

Termination

We may suspend or terminate access if you violate these Terms or if required for security or legal reasons. This means we may suspend or close your account and disable your chatbots.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Norway, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the courts located in Oslo, Norway.

Feedback

We welcome feedback and suggestions about the Service. If you choose to submit feedback, you grant us an unrestricted, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, and incorporate that feedback into the Service without any obligation or compensation to you.

Confidentiality

"Confidential Information" means any non-public information of either party that is designated as confidential or that a reasonable person would consider confidential under the circumstances. Each party will protect the other party's Confidential Information using at least reasonable care, will use it only to fulfill these Terms, and will not disclose it to any third party without the other party's consent. Confidential Information does not include information that is publicly available, was known to the recipient without confidentiality obligations, or is required to be disclosed by law.

Publicity

You grant us the right to use your company name and logo as a reference for marketing or promotional purposes on our website and in other public or private communications with our existing or potential customers, subject to your standard trademark usage guidelines as provided to us from time to time.

General Terms

• Eligibility: You must be at least 18 years old to use the Service. If you do not agree, do not use the service.
• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
